Please ensure you thoroughly understand this Conflict of Interest policy.
1. Terms
1.1 “Essio / we / our / us” refers to Essio Marketing Ltd.
1.2 “client(s) / you / your / yours” refers to client(s), client’s appointed agents and users sharing contractual relations with Essio Marketing Ltd.
1.3 “identifiers” refers to keywords, search queries and geographical locations utilised by any client.
2. General
2.1 It is Essio’s policy not to accept custom from clients who may reasonably be
expected to have or develop a conflict of interest with current client(s).
2.2 This conflict of interest refers to clients utilising similar or same identifiers.
2.3 This conflict of interest only refers to clients with a maintenance contract with Essio at the material time.
3. Purpose
3.1 Since the nature of Essio’s services is competitive marketing, it is in ours and
our clients’ interests not to represent companies who have a conflict of interests
as specified in section 2.2.
3.2 This is to ensure each client receives the highest standard of work from Essio, and that we are not competing any of our clients against each other.
4. Policy
4.1 Where Essio is at the material time contracted to undertake optimisation services
for a client utilising specific identifiers, Essio reserve the right to refuse
contracts with companies sharing these identifiers. In this circumstance, Essio will
endeavour to make the refused client fully aware of the reason for the refusal.
4.2 If a client utilising particular identifiers ceases contractual relations with Essio, we reserve the right to begin new contractual relations with a different client utilising some or all of the previous clients’ identifiers.
4.3 Whilst every endeavour will be taken to avoid contracting with clients who may develop a conflict of interest, unforeseeable conflicts may arise. Should two or more clients develop a conflict of interests, Essio reserve the right to cease contractual relations with the most recently acquired client(s).
4.4 On the cancellation of a contract based on this conflict of interest policy, Essio reserve the right to remove any or all of our services from the clients’ property.
4.5 In the event of the situation specified in section 4.4 materialising, any clients will have all monies paid to Essio fully refunded for the service(s) being removed.
4.6 In the event of section 4.5 occurring, refunds will not be given for services which are not removed.
